Standard Terms and Conditions
Form of Organization
The Miller Institute for Learning with Technology (dba
learningtech.org) is a tax-exempt, 501(c)(3)
California Non-Profit Public Benefit Corporation. We have been incorporated
since March 2000.
Our Federal Employer Identification Number [FEIN], California State Tax Identification Number [STIN],
and our Dun and Bradstreet [DUNS] number will be made available to prospective clients upon request.
Minimum Charges and Engagements Involving Travel
There is no separate charge for time spent en route to client site;
Fifteen minute minimum for remote support including email and teleconference;
Thirty minute minimum for assignments within San Carlos, CA;
One hour minimum for assignments outside San Carlos, but within San Mateo County;
Four hour minimum for assignments outside San Mateo County, but within San Francisco Bay Area;
Daily rate based on nominal ten hour day for all other assignments, including those requiring air travel or an overnight stay;
For travel outside the SF Bay Area, auto mileage is billed at standard I.R.S.-approved rates (48.5 cents per mile for 2005).
Out-of-Pocket Expenses
Receipts are provided for non-travel out-of-pocket expenses over $25 (parts, cables, media,
reproduction);
Receipts are also provided for actual travel expenses greater than $25, typically
including: coach airfare, ground transportation, modest accommodations and
meals;
If Miller Institute is asked to purchase more than nominal
quantities of parts, equipment, services, or software on behalf of
Client, a handling fee of $25 or five percent (5%) of purchase price,
whichever is larger, shall apply;
Major equipment orders should be placed directly with primary
suppliers; since our services include recommendations regarding
equipment purchases and vendor selection, we avoid acting as a
reseller.
Special Quotations
Fixed-price quotations can be provided for well-defined assignments
with limited scope;
If significant parts are to be purchased, a 50% deposit is required,
at least 2 weeks prior to start of work;
For substantial, long-term assignments, a preferred client discount
may be available.
Payment Terms
Invoices are due and payable upon receipt -- payment within 15 days is
expected;
We reserve the right to stop work on any project if invoices remain unpaid
over 30 calendar days;
Late fees and collection fees may be applicable to delinquent accounts.
No Incentives from Vendors
To assure our clients of unbiased recommendations, The Miller Institute
for Learning with Technology does not accept commissions or sales
incentives from hardware or software manufacturers.
Child Safety
Since the majority of our clients are schools, all
of our employees and subcontractors are required to undergo fingerprinting,
tuberculosis screening, and background checks, prior to starting work. These
procedures are performed at the San Mateo County Office of Education; results
are on file at San Carlos School District, 826 Chestnut St., San Carlos,
CA 94070.
Funding Assistance
As a nonprofit organization, our mission is to help teachers and
learners -- everywhere -- use technology more effectively for
learning. We recognize that budget limitations and insufficient access
to technical expertise can be significant barriers to technology
implementation, especially for schools serving disadvantaged
communities. Often, we can help identify sources of grant funding, or
assist with proposal preparation, enabling schools to obtain needed
equipment, telecommunications services, software, or
subsidized technical services. Since our employees must
earn a living, too, we are fee for service; it is difficult for
us to help on a purely
pro bono basis, unless we can jointly identify a sponsor for
your school or non-profit organization. We will make every effort
to help leverage your resources, through: aggressive labor rates; selecting
cost-effective hardware/software solutions; promulgating best
practices; training your internal staff; and establishing a volunteer
tech team composed of students and/or caring members of your
community. Let us work together to find ways to meet your technology
